These Terms are provided for BranchOrbit. The formal contracting entity name, registered address, governing law, and dispute venue must be confirmed before final production use.
Acceptance
By accessing or using BranchOrbit websites, applications, or services, you agree to these Terms. If you use BranchOrbit on behalf of a restaurant or organization, you represent that you are authorized to bind that organization.
Eligibility and restaurant accounts
BranchOrbit is intended for restaurants, restaurant operators, authorized staff, and related business users. Account owners are responsible for managing users, permissions, restaurant data, and compliance with applicable laws.
Subscription billing, trials, and fees
Subscription terms, trial availability, fees, modules, payment timing, taxes, and renewal terms are governed by the applicable order form, checkout flow, invoice, or written agreement. Public pricing may be contact-based and may vary by locations, modules, and integrations.
Authorized use
You may use BranchOrbit only for lawful restaurant business purposes and in accordance with documentation, account permissions, and applicable agreements. You may not misuse the platform, attempt unauthorized access, disrupt services, or reverse engineer protected parts of the software except where law prohibits such restrictions.
Merchant responsibilities
Restaurants are responsible for menus, prices, taxes, item availability, fulfillment, customer communications, refunds, staff access, branch configuration, and compliance with food, privacy, consumer protection, and payment obligations.
Customer orders
BranchOrbit provides ordering and operations software. Restaurants remain responsible for accepting, preparing, fulfilling, cancelling, refunding, and supporting customer orders unless a written agreement states otherwise.
Third-party integrations
BranchOrbit may integrate with payment processors, POS providers, email providers, notification services, hosting providers, and other third-party platforms. Third-party services are governed by their own terms. Availability may depend on approval, permissions, region, provider changes, and plan.
Payment processors
Payment processing is handled by third-party payment processors such as Stripe or another relevant provider. BranchOrbit does not claim to store full payment card numbers. Restaurants and customers may be subject to processor terms and fees.
Intellectual property
BranchOrbit and its software, design, trademarks, and content are owned by BranchOrbit or its licensors. Restaurants retain rights to their business data, branding, and content they provide, subject to the rights needed for BranchOrbit to operate the services.
Service availability
BranchOrbit works to provide reliable services, but availability may be affected by maintenance, provider outages, internet conditions, integrations, and events outside BranchOrbit control. We do not promise uninterrupted or error-free service.
Termination
Accounts may be suspended or terminated according to the applicable agreement, nonpayment, misuse, legal requirements, or security risk. Upon termination, access to services may end and data retention or export may be handled according to policy and agreement terms.
Disclaimers
The services are provided on an as-available basis to the maximum extent permitted by law. BranchOrbit disclaims warranties that are not expressly stated in a written agreement.
Limitation of liability
Liability limits must be finalized in the applicable agreement and reviewed by legal counsel. Any limitation should comply with applicable law and confirmed commercial terms.
Indemnification
Restaurant account owners may be responsible for claims arising from their content, restaurant operations, customer disputes, misuse of the services, or violation of law, subject to final legal review and written agreement terms.
Governing law placeholder
Governing law and dispute venue are placeholders and must be confirmed by BranchOrbit legal counsel before final production use.
